Terms of Service

1. Acceptance of Terms

By accessing or using Technical SEO Agent ("the Service", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you and Technical SEO Agent. You represent that you have the authority to enter into this agreement on behalf of yourself or, if applicable, the organization you represent.

2. Description of Service

Technical SEO Agent is a cloud-based platform for technical SEO professionals and agencies. The Service provides distributed website crawling, automated issue detection, structured data and schema analysis, Core Web Vitals measurement, uptime monitoring, image analysis, internal link-flow visualisation, scheduled audits, AI-assisted audit summaries, PDF reporting, and an integration with Google Search Console.

The Service is multi-tenant and supports a three-tier role model (Super Admin, Account Admin, User) so that an agency can manage multiple users and projects under a single account.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to communicate significant changes in advance.

3. Accounts & Registration

To access certain features you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Keep your password secure and not share it with third parties.
• Notify us immediately of any unauthorized use of your account.
• Take responsibility for all activity that occurs under your account.

We reserve the right to terminate or suspend accounts that violate these Terms, are inactive for an extended period, or that we reasonably believe pose a security or legal risk.

4. Plans, Subscriptions & Top-ups

The Service is sold under quota-based subscription plans. Each plan grants a monthly allowance of URL crawls and JavaScript-rendered URL crawls ("JS-renders"), plus access to specific plan-gated features. Current published plans are:

• Starter — $9 / month
• Growth — $29 / month
• Consultant — $79 / month
• Agency — $199 / month

In addition to plan allowances, you can purchase one-time JS-render top-up packs:

• 10,000 JS-renders — $9
• 50,000 JS-renders — $39
• 100,000 JS-renders — $69
• 500,000 JS-renders — $299

By purchasing a subscription or top-up you agree to the following:

• Billing. Subscription fees are billed in advance on the cadence shown at checkout (monthly unless otherwise specified). Top-ups are charged as one-time payments.
• Automatic renewal. Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date.
• Quota reset. Your monthly URL and JS-render allowances reset at the start of each billing period. Unused allowance does not roll over.
• Top-up balance. JS-render top-ups stack on top of your monthly allowance and do not expire until used or until you delete your account.
• Price changes. We may change subscription or top-up pricing with at least 14 days' notice. Continued use after the notice period constitutes acceptance of the new price.
• Refunds. All fees are non-refundable except where required by law, or at our sole discretion in exceptional circumstances. Used quota and consumed top-ups are never refundable.
• Cancellation. You may cancel your subscription at any time from your account settings. Access continues until the end of the current billing period; we do not pro-rate refunds for partial periods.
• Failed payment. If a renewal payment fails, we may suspend access to paid features until the balance is settled.

Payments are processed by our third-party payment provider, Stripe. By providing payment details you agree to Stripe's terms and authorize us to charge your payment method on a recurring basis.

5. Free Trial

New accounts that have not purchased a subscription receive a one-time free trial allowance of 750 URL crawls (lifetime, not monthly) and 0 JS-renders. The trial allowance is intended for evaluation only and is granted once per account.

If a paid subscription is later canceled, the trial allowance is not regranted. We reserve the right to limit, suspend or revoke trial access where we detect abuse, including the creation of multiple accounts to circumvent the trial allowance, automated sign-ups, or use of disposable email providers.

6. Acceptable Use

You agree not to use the Service to:

• Crawl, audit, or monitor websites that you do not own or do not have explicit authorization to access.
• Submit URLs in violation of the target site's robots.txt, terms of service, or applicable law.
• Perform denial-of-service attacks, vulnerability scans, or cause unreasonable load on crawled websites.
• Connect a Google Search Console property or other third-party account that you do not own or are not authorized to manage.
• Circumvent, disable, or interfere with security features of the Service, including its quota, rate-limit, or billing systems.
• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Resell, sublicense, white-label or redistribute access to the Service without a feature explicitly enabled on your plan, or without our written consent.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Use automated means to scrape, harvest, or collect data from the Service itself beyond its intended API.
• Submit URLs that point to content you know to be illegal, malicious, or that violate third-party rights.

Violation of this section may result in immediate account suspension or termination without refund.

7. Third-Party Services & Connected Accounts

The Service integrates with third-party services including Google (Search Console, OAuth, PageSpeed Insights), Stripe, Cloudflare, Resend, and DataForSEO. When you connect a third-party account or submit URLs that cause us to call a third-party API on your behalf, you authorize us to do so for the purpose of providing the Service to you.

Your use of any connected third-party service remains subject to that provider's own terms. In particular, where you connect a Google account, you must comply with Google's terms of service, and you grant us only those permissions explicitly described in the OAuth consent screen.

We are not responsible for the availability, accuracy, or behavior of third-party services. Suspension or removal of a third-party service may affect related features without entitling you to a refund.

8. AI-Generated Output

Certain features of the Service — including AI audit summaries, AI explanations of issues, and schema gap analysis — produce output generated by large language models. AI-generated output is offered on a best-effort basis and may contain inaccuracies, omissions or "hallucinations". You are responsible for independently verifying AI-generated output before relying on it for any decision, particularly any action affecting a live website, search ranking, or business operation.

You will not use the Service's AI features to generate content that is illegal, defamatory, infringing, or that violates the AI provider's usage policies.

9. Intellectual Property

All software, algorithms, interfaces, design elements, documentation, and content comprising the Service are the exclusive property of Technical SEO Agent and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes in accordance with these Terms.

You retain ownership of any data, content, or materials you submit to the Service ("Your Data"). By submitting Your Data, you grant us a limited license to process and store it solely for the purpose of providing the Service to you.

10. Your Data

We take the security and privacy of your data seriously. Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are solely responsible for ensuring that any URLs or websites you submit for crawling, monitoring or analysis are ones you have the legal right to access, and that your use of the resulting data complies with the terms of service of any third-party websites.

To keep your data footprint tight, the Service automatically prunes operational data on a rolling basis (for example, raw crawled HTML after 14 days, audit results and detected issues after 90 days). Upon account termination, we will retain your remaining data for up to 30 days to allow for data export, after which it may be permanently deleted. Billing records are retained for up to 7 years as required by law.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected. SEO audit results, AI-generated summaries, schema recommendations and uptime checks are provided for informational purposes and we make no guarantee that acting on them will produce specific search engine ranking outcomes or business results.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Technical SEO Agent and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use the Service.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the total fees you paid to us in the twelve months preceding the claim, or (b) $100 USD.

13. Termination

Either party may terminate the agreement governed by these Terms at any time. You may do so by cancelling your subscription and deleting your account. We may terminate or suspend your access at any time for:

• Violation of these Terms.
• Non-payment of fees.
• Conduct we determine to be harmful to the Service, other users, or third parties.
• Any other reason at our sole discretion, with reasonable notice where practicable.

Upon termination, all licences granted under these Terms will immediately cease.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, notify you by email or a prominent notice within the Service.

Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
